Terms of Service

JL Faast, Inc. d/b/a DiversifyRx, Pharmacy Profit Summit, and Pharmacy Badass University (“Company,” “we,” “us,” or “our”) provides services including, but not limited to, business consulting, digital marketing, membership programs, marketing SaaS, live event hosting, and content creation (collectively, “Services”). By accessing or using our Services, you agree to these Terms of Service (“Terms”). If you do not agree, do not use our Services.

1. Eligibility & Accounts

You must be at least 18 years old to use our Services.
If using our Services on behalf of an entity, you confirm you have the authority to bind that entity to these Terms.
You are responsible for maintaining the security of your account.
By using our Services, you agree to receive electronic communications from us.

2. Privacy & Compliance

We adhere to HIPAA compliance where applicable.
Our Privacy Policy explains how we collect, use, and protect your data.
You must comply with all laws and regulations when using our Services. We are not responsible for any legal violations caused by your use of our tools or strategies.

3. Communications & Consent

By providing us with your contact information, you consent to receive communications from us via all applicable channels, including but not limited to text messages, emails, phone calls, AI-assisted communication, and automated messaging.
These communications may include service updates, marketing messages, account notifications, and other information related to our Services.
You can opt out of marketing communications at any time, but transactional and service-related messages will still be sent as necessary.
Standard message and data rates may apply for SMS and other electronic communications.
We are not responsible for any delays, delivery failures, or security issues related to third-party communication platforms.

4. Content & Intellectual Property

Any content we create for you remains our property. You receive a limited, non-transferable license to use it within your company.
You may not share, distribute, resell, or otherwise transfer our content to anyone outside of your company without our written permission.
Any content you provide to us for marketing or consulting purposes must be legally owned by you.
We reserve the right to use anonymized versions of work we produce for marketing purposes.

5. Acceptable Use & Prohibited Conduct

You may not use our Services to:

Violate any laws, regulations, or third-party rights.
Send spam, unsolicited messages, or misleading marketing content.
Upload viruses, malware, or anything that disrupts functionality.
Engage in fraudulent, harassing, or deceptive practices.
Resell or share your access to our Services without written consent.

6. Payments & Subscription Terms

Some Services require a subscription or one-time payment. Fees are non-refundable unless otherwise stated.
Subscription services renew automatically unless canceled before the renewal date.
If payment fails, we may suspend or terminate your access.
Refunds for live events are only available if requested at least 4 weeks prior to the event.

7. Limitation of Liability

We are not responsible for any loss, damages, or liabilities resulting from your use of our Services.
We make no guarantees about specific results from using our Services.
You agree to indemnify and hold us harmless from any claims, damages, or legal fees resulting from your misuse of our Services.

8. Termination

We may suspend or terminate your access at any time if you violate these Terms.
Upon termination, any remaining payments owed are still due.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas.
Any disputes must be resolved through binding arbitration in Texas.
You waive the right to participate in class actions.

10. Changes to These Terms

We may update these Terms at any time. Continued use of our Services constitutes acceptance of the new Terms.
